State and Local Tax

Davenport, Herring, & Shimoda is a business and commercial law firm with a practice extending to all aspects of business representation. Our areas of practice include corporate and commercial law, corporate acquisitions and mergers, corporate and business entity taxation (federal, state and local), business and civil litigation, real estate, estate planning and probate, trademark/trade name and copyright law.

Formation or Expansion of Business

We provide federal, state and local tax advice to our clients with respect to forming new businesses or expanding existing businesses. Initial discussions focus on an analysis of the business and tax considerations in structuring the business venture.  An important part of this analysis is a comparison under state law of operating under a variety of business structures and the proper state of incorporation or domicile. The proper business structure can produce significant federal, state and/or local tax savings for many clients. Our day-to-day practice in this area extends to forming, expanding and acquiring or disposing of all types of business organizations, including the following:

 ◊   C corporations

 ◊   S corporations

◊   Partnerships (both general and limited)

 ◊   Limited liability companies

 ◊   Joint venture arrangements

In addition, we regularly provide services addressing a wide variety of other business and tax issues facing clients forming or expanding businesses, including the following:

 ◊  Contributions to capital

 ◊  Stock and debt instruments

 ◊  Financing agreements

 ◊  Buy - sell agreements

 ◊  Security offerings

 ◊  Compensation and benefit packages

◊  State and local tax credits and incentives

Our services include a careful analysis of the effect of new operations on any existing business operations and interests of our clients in other businesses. Given the particular circumstances of a client, various factors can be very important, such as limited liability from debts and utilization of past operating losses, avoidance of double taxation, maximum attainment of federal and state tax credits and other incentives, and desires by the client to create a business structure to maximize the profits of the business.

Mergers and Acquisitions

We routinely counsel clients relating to the purchase or sale of businesses. An analysis of both the federal and state consequences of a transaction is extremely critical to our clients. In structuring acquisitions, whether taxable or tax-free, our focus is on the overall objectives of our-clients, the nature of the assets and the business being purchased sold, continued use of any operating losses, any projected future transactions, among other factors. In large transaction, we may obtain a private letter ruling from the IRS or a state taxing authority or render opinion as to the federal and state tax consequences of the transaction.
